Engagement terms, summarised.

These terms govern engagements between NUVIA VENTURES (SSM 202603080829), trading as BroData (we, us, our), and the client identified in the Statement of Work (you, your, client).

A fixed-price MyInvois custom integration engagement. Scope, deliverables, and timeline are defined in the Statement of Work (SOW) we issue after Week 0 discovery. The SOW is the controlling document.

Pricing tiers (Starter RM10k, Standard RM20k, Complex RM40k+) are anchors, not commitments. Your specific quote is what governs.

• ›Remaining 50% on production cutover, payable within 14 calendar days.
• ›Complex tier engagements may use milestone payments at Week 2, Week 5, and cutover; specifics in the SOW.
• ›Late payment beyond 14 days accrues a 1.5% per month service charge.
• ›All prices exclude SST or any other applicable taxes, which we invoice as a separate line.

Every engagement ends with: working middleware deployed to your environment of choice, code repository transferred to you or to an account you nominate, integration runbook for your team, and a recorded code walkthrough.

We commit to making your invoices submit successfully against MyInvois production for every invoice type listed in the SOW. We do not commit to outcomes outside our control, such as LHDN-side downtime or your operational decisions.

Scope changes are common when discovery surfaces something the form missed. We re-quote in writing before any new work starts. The original SOW remains in force until you approve a written variation.

You may cancel before we begin Week 1 scoping and receive a full refund of the deposit. Once scoping begins, the deposit covers the time already spent and is non-refundable.

We reserve the right to withdraw from an engagement if, after discovery or scoping, we determine we cannot deliver in good faith. In that case, deposit is refunded in full and we make a written referral to alternative providers.

We treat your system documentation, data samples, and business information as confidential. We do not disclose, publish, or reuse them outside the engagement.

Either party may share that an engagement exists, with consent for the other party's name and logo. Default consent is no. Published case studies require explicit written agreement (see the pilot programme for the exception).

The code we write for your engagement is yours on final payment. We retain the right to reuse generic patterns, libraries, and tools that are not specific to your business or data.

We do not place a maintenance lock on your code. You can fork, modify, and run it in-house without our involvement at any time.

We warrant that the integration will function as described in the SOW for 30 days after production cutover (60 days for Complex tier). Defects within that window are fixed at no charge.

Our total liability under any engagement is limited to the fees paid by you under that engagement. We are not liable for indirect or consequential losses, including but not limited to lost revenue or LHDN penalties incurred by your operational decisions.

These terms and any SOW are governed by the laws of Malaysia. Disputes are submitted to the exclusive jurisdiction of the courts of Kuala Lumpur.
